Mergers & Acquisition

We advise on mergers, acquisitions, and demergers across a wide range of industries. Our lawyers handle a full range of M&A transactions including Mergers & Amalgamations; Schemes of Arrangement, Reconstructions, and Demergers; Acquisitions & Divestments – of shares, assets, and businesses. Our services include structuring the M&A transaction, which involves various aspects of corporate and securities laws, exchange control laws and working with tax advisors to arrive at the most tax and cost-efficient structure for the client. The success of any M&A deal is based on a strong legal due diligence on the target company or a precursor, vendor due diligence on behalf of the company prior to an acquisition. We also have a great depth of experience in drafting, reviewing and negotiating related transaction documentation including term-sheets, share purchase agreements, share subscription agreements, stock swap agreement, shareholder agreements, slump sale agreements, business transfer agreements, non-compete agreements, non-disclosure agreements, escrow agreements and employment agreements.

Foreign Investment

As the Government of India constantly looks to improve the ease of doing business in the country for both domestic and foreign entrants, the policy and regulatory framework are constantly evolving. Our team of lawyers closely monitors these changes allowing us to advise with authority on aspects of entry strategy and foreign investment into India as well as investment by Indians outside of India. Our team also has experience with navigating the regulatory framework in terms of external commercial borrowings by Indian firms as well as structuring and remitting outbound debt.

Private Equity

We have acted for international private equity funds, venture capitalists, family offices, founders, and management. General Corporate Commercial Advisory

As part of our ongoing representation of companies, we regularly advise clients with respect to their business contracts, compliance and disclosure obligations. We assist clients as they operate, regulate and grow their businesses, helping them to manage their existing commercial relationships, form alliances and expand into new markets and advice on day-to-day legal issues concerning commercial & business affairs. We are involved with virtually all aspects of business relations and participate in negotiations, drafting, and advice on a wide variety of commercial contracts and documentation.

Our services offered include understanding the business and areas of operation in order to determine the extent of applicability of State and Central laws; compiling a list of State and Central applicable compliances; working in consultation with the client to assign frequencies and ownership for each compliance and carrying out regular updates to reflect any additions/ amendments to the applicable laws/ regulations/laws.

Our services offered include registration and prosecution of Trademarks, Designs, Copyright, Geographical Indications, among others; IP due diligence and audits; assistance in negotiating transaction documents including licensing /assignment of IP; identification and protection of IP in the arts, publication, film, live events, digital media; matters concerning domain names; advising on IP infringement and passing off; assistance in dispute resolution (arbitration and litigation), sending and responding to cease and desist notices and devising strategies for both Indian and cross border dispute resolution mechanisms.

The country has just witnessed a landmark judgement which considers Right to Privacy as a fundamental right under the constitution. This judgement, parts of which are still being decoded by privacy professionals, will have far-reaching consequences on companies operating in this area. We advise our clients on legal and regulatory matters for protection of data and information managed and exchanged on a digital platform.
